Legal notice and general terms
These terms apply to the Anthracite Brussels modules, whichever channel you obtained them through. They are written to be read: if anything is unclear, write to us before you buy.
1. Publisher
This site and the modules presented on it are published by Charbon Cinéma SRL, a limited liability company under Belgian law, rue Berthelot 172, 1190 Forest, Belgium. Company and VAT number: BE 0669.654.643. Register of legal entities, Brussels.
Anthracite Brussels is a trade name of Charbon Cinéma SRL. Contact: support@anthracite.brussels.
2. Scope
These terms govern the licensing and use of the software modules published by Charbon Cinéma SRL, hereafter "the Modules".
The Modules are intended exclusively for undertakings within the meaning of article I.1 of the Belgian Code of Economic Law, acting in the course of their professional activity. They are neither designed, offered nor sold to consumers. By placing an order, the Customer declares that it acts for professional purposes.
These terms prevail over any purchasing terms of the Customer, save express written agreement.
3. Purchases through the Odoo Apps Store
Where a Module is acquired through the Odoo Apps Store, the transaction is also governed by the sales conditions and refund policy of Odoo S.A. (apps.odoo.com/apps/sales-conditions), which Charbon Cinéma SRL accepted by publishing on that platform. In case of conflict, the Odoo S.A. conditions prevail as regards the claim procedure, the deadlines and refunds.
A third-party module can only be installed on a database hosted on Odoo.sh or on-premise, not on Odoo Online. It is for the Customer to verify, before purchase, that its hosting and its Odoo version are compatible.
4. Nature of the service
The Modules are standard off-the-shelf software, exhaustively described on their product page. They are not custom developments and are not adapted to the Customer's specific needs, save separate written and paid agreement.
Charbon Cinéma SRL undertakes to apply reasonable means and professional standards so that the Modules operate in accordance with their description. It undertakes no obligation of result as to the accuracy, completeness, validity or acceptance of the files produced.
The Customer acknowledges having been able to consult the detailed description of the Module before purchase and declares that it assessed, under its sole responsibility, whether the Module suits its needs, its technical environment and its chart of accounts.
5. Legal filings: your responsibility
The Modules are a tool assisting the production of files, in particular annual accounts in XBRL format for the Central Balance Sheet Office of the National Bank of Belgium and corporate income tax returns for Biztax. They never replace the professional judgement of the user.
Legal responsibility for the accuracy, completeness and compliance of the annual accounts and tax returns, and for filing them on time, lies exclusively with the Customer and, where applicable, its agent. That responsibility arises from the law and cannot be transferred to Charbon Cinéma SRL.
The Customer undertakes to fully verify any file produced by a Module before any filing, transmission or signature, and to check the acknowledgement issued by the authority. Filing without that verification is the Customer's own decision.
Charbon Cinéma SRL accepts no liability for fines, increases, surcharges, late payment interest, rejected filings, administrative penalties, tax reassessments or loss of rights arising from the use of the files produced, from the content of the data entered by the Customer, from a change in taxonomies, formats or administrative instructions, or from the unavailability of filing platforms.
The Modules constitute neither accounting, nor tax, nor legal advice.
6. Warranty
Charbon Cinéma SRL warrants that, at the date it is made available, the Module installs and operates substantially in accordance with its description, on the announced Odoo version, in a standard unmodified Odoo environment.
This warranty is excluded where the defect results from: a modification of the Module or of the Odoo code by the Customer or a third party; incompatibility with a third-party module or a specific development; an environment, version or hosting that was not announced; incorrect, incomplete or inconsistent data entered by the Customer; failure to follow the documentation; or failure to install a corrective update made available.
The sole remedy under this warranty is, at the option of Charbon Cinéma SRL, correction of the Module within a reasonable time or, if correction proves impossible or disproportionate, termination of the licence against refund of the price paid for the Module concerned.
To the extent permitted by law, and without prejudice to article 8, any other warranty is excluded, in particular the warranty against hidden defects and any warranty of fitness for a particular purpose, functional completeness or absence of error.
7. Diagnosis and intervention: an export is required
If a Module does not work with your data, we ask for an export of the state of your accounts, either a complete database backup or the file produced by the free Anthracite IO module.
Without that export, no diagnosis is possible and no intervention will be attempted. Refusing to provide an export suspends no deadline and founds no claim.
Depending on the case, we adapt the Module to your data or we tell you what, in your data, prevents processing. We never file on your behalf.
8. Claims and deadlines
Any claim relating to a Module acquired through the Odoo Apps Store follows the Odoo S.A. procedure, within the two-month period it provides.
For direct purchases, any defect must be notified in writing, with reasons, within thirty days of its discovery and in any event within twelve months of the Module being made available.
9. Limitation of liability
The total aggregate liability of Charbon Cinéma SRL, on whatever basis (contractual, extra-contractual, warranty, conformity or otherwise), is limited to the amount excluding VAT actually paid by the Customer for the Module giving rise to the damage.
The following damages are excluded: loss or corruption of data, files or backups; loss of profit, turnover, anticipated savings or customers; loss of opportunity; reputational harm; costs of reconstitution, re-entry or re-filing; third-party, expert or advisory fees; fines, tax increases, surcharges, late payment interest and administrative penalties; and any indirect or immaterial damage.
These limitations and exclusions apply including in the event of gross negligence of Charbon Cinéma SRL or of a person for whom it is responsible, which the Customer expressly accepts.
They do not apply in the event of intentional fault of Charbon Cinéma SRL or of a person for whom it is responsible, in the event of harm to the life or physical integrity of a person, nor where Belgian law mandatorily provides otherwise.
In accordance with article 5.89, § 2, of the Belgian Civil Code, the employees, subcontractors and auxiliaries of Charbon Cinéma SRL may invoke the benefit of this article.
The parties expressly acknowledge that this allocation of risk is a determining condition and the economic consideration for the agreed price, which bears no relation to the financial stakes of the operations for which the Customer intends the Modules; that the Customer is a professional with its own accounting and tax expertise; and that it retains full control over the files produced. Without this clause, Charbon Cinéma SRL would not have contracted at this price.
10. Withdrawal and refunds
A Customer acting for professional purposes has no legal right of withdrawal, that right being reserved to consumers by article VI.47 of the Belgian Code of Economic Law.
Apart from the remedy provided in article 6 and the Odoo S.A. refund policy, no refund is granted, in particular in the event of a change of mind, purchase of a version unsuited to the Customer's database, hosting that does not allow third-party modules, non-use of the Module, or unsuitability for a specific need not announced in the description.
The Customer's legal rights in the event of non-performance attributable to Charbon Cinéma SRL remain reserved.
11. Licence and intellectual property
Anthracite BNB and Anthracite Biztax are licensed under the Odoo Proprietary License v1.0 (OPL-1). Anthracite IO is distributed free of charge under the LGPL-3 licence.
For Modules under OPL-1, the Customer receives a non-exclusive, non-transferable right of use, for its own needs and those of its clients in the course of its activity, for the Odoo version acquired. Any publication, distribution, sub-licensing, resale or making available to third parties of the code, in whole or in part, modified or not, is prohibited.
Each major Odoo version is a distinct product. Acquisition for one version confers no right over another.
12. Support, corrections and updates
Charbon Cinéma SRL corrects, within a reasonable time, anomalies preventing a Module from operating in accordance with its description, in the Odoo version for which it was acquired.
Not included in the price: features that were never announced, adaptation to specific developments or third-party modules, configuration, installation, migration, training, accounting or tax assistance, and adaptation to a new major Odoo version. These are quoted separately.
No correction deadline is guaranteed, without prejudice to the deadlines imposed by the distribution platform.
13. Personal data
The Modules run inside the Customer's database, under its exclusive control. Charbon Cinéma SRL does not access it and collects no usage data. The Modules make no network calls. The Customer remains the controller within the meaning of the GDPR.
If the Customer sends us an export of its data for diagnostic purposes, that export is used solely for that purpose and deleted once the intervention is complete.
This site sets no advertising trackers and uses no third-party analytics.
14. Force majeure
Charbon Cinéma SRL is not liable for non-performance resulting from force majeure within the meaning of article 5.226 of the Belgian Civil Code, including the unavailability of filing platforms, of Odoo S.A. services or of telecommunication networks.
15. Severability
If any provision of these terms is held void, unwritten or unenforceable, the others remain in force. The provision concerned is replaced by operation of law with the valid provision closest to the intention of the parties. In particular, if a limitation of liability were set aside, it would be deemed replaced by the closest valid limitation permitted by Belgian law.
16. Trade marks
Odoo is a registered trade mark of Odoo S.A. Charbon Cinéma SRL is an independent publisher, not affiliated with Odoo S.A.
17. Language, governing law and jurisdiction
These terms exist in French, English and Dutch. In the event of divergence between the language versions, the French version prevails.
These terms are governed by Belgian law, excluding the Vienna Convention on Contracts for the International Sale of Goods. Any dispute falls within the exclusive jurisdiction of the courts of the judicial district of Brussels, without prejudice to the right of Charbon Cinéma SRL to sue before the court of the Customer's domicile.
